1. Definitions
- "DJN", "we", "us", "our": Dream Job Navigator LLC, a Wyoming limited liability company, providing the services described herein.
- "Client", "you", "your": The individual purchasing and using DJN's services under these Terms.
- "Services": All job search management activities DJN performs on the Client's behalf, including but not limited to: application submission, recruiter outreach, profile optimisation, interview preparation, and salary negotiation assistance, as defined by the selected Service Plan.
- "Service Plan": The specific tier of service purchased by the Client (Career Launch Pack, Essential, Growth, or Premium), which defines the scope and volume of services included.
- "Free Trial": The 14-day trial period described in Section 8.3, available on the Monthly and 3-Month Essential, Growth, and Premium plans.
- "Customer Portal": The secure, Stripe-powered self-service portal through which the Client manages their subscription and payments, as described in Section 8.5.
- "Shared Email Account": A Gmail account created jointly during the Onboarding Process, accessible by both the Client and DJN, used exclusively for job search activities. This account remains the Client's property at all times.
- "Authorized Platforms": Third-party platforms to which the Client grants DJN access during onboarding, including but not limited to LinkedIn, Indeed, and any other professional networking or job board platforms agreed upon during the Onboarding Process.
- "Onboarding Process": The initial synchronisation call or meeting between the Client and DJN during which access to Authorized Platforms and the Shared Email Account is established, and service parameters are confirmed.
- "Subscription Date": The recurring billing date on which the Client's subscription fee is automatically charged. For monthly plans this recurs monthly; for 3-, 6-, and 12-month plans it recurs at the end of each corresponding period. The Subscription Date corresponds to the date of the original purchase or, for a subscription started on a Free Trial, the date the Free Trial converts to a paid subscription, unless adjusted by mutual written agreement at onboarding.
- "Platform": DJN's website, client portal, and any associated tools or communication channels operated by DJN.
- "Confidential Information": Any non-public information shared between DJN and the Client in connection with the Services.
2. Description of Services
DJN provides reverse-recruitment services whereby our team manages the Client's entire job search on their behalf. The specific scope of services is determined by the Service Plan selected at the time of purchase. Full service delivery requires the Client to grant DJN access to Authorized Platforms and establish a Shared Email Account during the Onboarding Process. All job applications are submitted via the Shared Email Account.
The scope, features, and inclusions of each Service Plan are as published on DJN's website at www.dreamjobnavigator.net at the time of purchase and are incorporated into these Terms by reference. DJN reserves the right to update, modify, or discontinue Service Plans at any time. Clients will be notified of any material changes to their active plan in advance, and changes take effect at the start of the next billing cycle.
3. Authorization to Act on Client's Behalf
By engaging DJN's services, the Client expressly grants DJN a limited, revocable authorization to act on their behalf solely for the purpose of delivering the Services. This authorization includes:
- Submitting job applications in the Client's name via the Shared Email Account and Authorized Platforms.
- Contacting recruiters, hiring managers, and prospective employers on the Client's behalf.
- Managing, updating, and optimising the Client's profiles on Authorized Platforms, including LinkedIn and Indeed.
- Operating the Shared Email Account for all service-related communications and applications.
- Assisting with and, where instructed by the Client, conducting salary negotiations on the Client's behalf.
3.1 Human-Led Process
All job applications, recruiter outreach, and client-facing communications are executed by human team members. Artificial intelligence and automated tools are used solely for supporting tasks including: ATS scoring and optimisation, market analytics, application tracking, and content analysis. No application is submitted or outreach sent without human review and execution.
3.2 Non-Disclosure of Third-Party Involvement
DJN does not disclose to employers, recruiters, or hiring managers that a third-party service is managing the Client's job search. All activities are conducted in the Client's name and presented as the Client's own. This is consistent with standard career coaching and professional representation practice. The Client acknowledges and consents to this approach.
3.3 Scope of Authorization
This authorization is strictly limited to the delivery of the Services. DJN shall not use the Client's credentials, accounts, or identity for any purpose beyond the scope of the agreed Service Plan. This authorization does not constitute a general power of attorney and may be revoked by the Client at any time by providing written notice to DJN, subject to the cancellation terms in Section 9.
4. Onboarding, Platform Access & Shared Email Account
To enable full service delivery, the Client and DJN complete an Onboarding Process prior to commencement of active job search activities. During onboarding, the following are established:
4.1 Platform Access
The Client grants DJN access to all Authorized Platforms necessary for service delivery, which may include LinkedIn, Indeed, and other agreed platforms. DJN's access is strictly limited to activities within the scope of the Services: submitting applications, optimising profiles, updating content, and conducting outreach on the Client's behalf. DJN will not use platform access for any purpose beyond service delivery.
4.2 Shared Email Account
A dedicated Gmail account is created during the Onboarding Process, jointly accessible by the Client and DJN. This Shared Email Account is used exclusively for job applications and service-related communications. The Client acknowledges and agrees to the following:
- The Shared Email Account is the Client's property at all times.
- DJN's access is limited to service delivery purposes only.
- The Client must not use the Shared Email Account for personal or unrelated communications.
- Upon termination or cancellation of the Client's subscription, DJN will revoke its own access to the Shared Email Account within 3 business days.
- The Client retains full ownership and access to the Shared Email Account after service ends.
4.3 Service Start Date
The subscription period begins on the date of purchase or, where the Client starts on a Free Trial, on the date the Free Trial converts to a paid subscription. The active job search start date may be adjusted by mutual written agreement during the Onboarding Process to account for onboarding completion, platform access synchronisation, and scheduling. Any such adjustment will be confirmed in writing by DJN.
4.4 Client Responsibility for Platform Compliance
The Client is responsible for ensuring their accounts on Authorized Platforms remain in good standing and comply with the respective platform's terms of service. DJN will act professionally within the bounds of each platform's guidelines, but is not liable for platform-initiated account suspensions, restrictions, or policy changes. See Section 15 for force majeure provisions.
5. Client Representations and Warranties
By engaging DJN's services, the Client represents, warrants, and confirms the following as of the date of purchase and on a continuing basis throughout the engagement:
- Accuracy of Information: All personal, professional, and employment information provided to DJN is true, accurate, complete, and not misleading in any material respect.
- Credential Accuracy: The Client's CV, employment history, educational credentials, certifications, and professional qualifications are accurately represented and not exaggerated, falsified, or omitted in any way that could mislead a prospective employer.
- No Conflicting Agreements: The Client is not currently bound by any non-compete, non-solicitation, or other contractual restriction with a current or former employer that would conflict with or prohibit the job search activities DJN will conduct on their behalf.
- No Contract Breach: Engaging DJN does not violate any existing employment contract, confidentiality agreement, or other legal obligation.
- Employment Eligibility: The Client is legally entitled to seek employment in the jurisdictions and roles being targeted.
- Ongoing Obligation: The Client will promptly notify DJN if any of the above representations become inaccurate at any point during the engagement.
5.1 DJN's Liability for Client-Provided Information
Important: DJN does not verify the accuracy of information provided by the Client. DJN acts in good faith based solely on what the Client represents. Dream Job Navigator LLC bears absolutely no responsibility or liability for any consequences — including employer claims, offer rescissions, reputational damage, or legal action — arising from false, inaccurate, exaggerated, or misleading information provided by the Client. The Client assumes full and sole responsibility for the accuracy of all information submitted to DJN and subsequently presented to employers on their behalf.
5.2 Client Indemnification for Inaccurate Information
The Client agrees to fully indemnify, defend, and hold harmless DJN, its members, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) any inaccuracy, misrepresentation, or omission in information provided by the Client; (b) any breach by the Client of a non-compete, non-solicitation, or other contractual obligation; or (c) any false credential or qualification presented to a prospective employer through DJN's services.
6. Client Obligations
To enable DJN to perform the Services effectively, the Client agrees to:
- Provide accurate, complete, and up-to-date personal and professional information at all times.
- Respond to requests for information, approvals, and feedback within 48 hours of receipt.
- Notify DJN promptly of any changes to employment status, job preferences, target roles, or salary expectations.
- Notify DJN immediately upon receiving any interview request, job offer, or employment-related communication that resulted from DJN's activities.
- Attend scheduled consultations, strategy calls, onboarding sessions, and interview preparation sessions.
- Maintain the confidentiality of the Shared Email Account and Authorized Platform credentials.
- Comply with all applicable laws and the terms of service of Authorized Platforms in connection with the Services.
- Not engage in any conduct that could misrepresent DJN or damage DJN's relationships with recruiters, employers, or hiring managers.
- Not share their DJN account, Shared Email Account, or service access with any other individual. One subscription covers one client only.
6.1 Client Unresponsiveness
If the Client fails to respond to DJN communications within a reasonable period or becomes otherwise unresponsive, the subscription shall continue and billing shall proceed as normal on the Subscription Date. DJN is not obligated to pause, suspend, or credit the subscription due to Client unresponsiveness. The Client acknowledges and agrees to this policy at the time of subscription. Only an active, written cancellation request in accordance with Section 9, or a cancellation made through the Customer Portal, will stop future billing.
7. DJN's Obligations
DJN agrees to:
- Perform the Services with reasonable professional skill, care, and diligence.
- Assign a qualified career agent or team member to each active Client account.
- Provide regular progress updates as specified in the Client's Service Plan.
- Keep Client data confidential in accordance with our Privacy Policy.
- Notify the Client promptly of any interview requests, offers received, or matters requiring Client input or decision.
- Restrict access and use of the Shared Email Account and Authorized Platforms strictly to service delivery.
- Revoke DJN's access to the Shared Email Account within 3 business days of service termination.
8. Subscriptions, Free Trial, Pricing and Payment
8.1 Billing and Billing Cycles
Service Plans are billed in advance on a recurring basis for the applicable billing cycle — monthly, or every 3, 6, or 12 months, depending on the plan selected. One-time purchases (the Career Launch Pack) are billed in full at the time of order. Where a Client starts on a Free Trial (Section 8.3), the first charge occurs at the end of the 14-day trial period. The Client authorises DJN, through its payment processor Stripe, to charge the applicable fees automatically on each Subscription Date unless a valid cancellation has been made in accordance with Section 9. DJN will send the Client a reminder before each renewal charge.
8.2 Pricing
Current pricing is published at www.dreamjobnavigator.net. Prices are in USD unless otherwise stated and are exclusive of any applicable taxes, which the Client is solely responsible for.
8.3 Free Trial
DJN offers a 14-day Free Trial on its Monthly and 3-Month Service Plans (Essential, Growth, and Premium). The Career Launch Pack and the 6-Month and 12-Month plans are not available on a trial basis.
- Payment Method Required. A valid payment method is required to start the Free Trial. The Client will not be charged during the 14-day trial period.
- Limited Scope During Trial. During the Free Trial, DJN provides a limited version of the Services: our team begins the Client's job search using the Client's existing CV and documents — identifying suitable roles, submitting applications, and suggesting outreach opportunities. The value-added optimisation services (including the professional CV rewrite, cover letter optimisation, and LinkedIn profile overhaul) and any other features specific to the selected Service Plan are not provided during the Free Trial and become available only if and when the trial converts to a paid subscription.
- Reminder Before Charge. DJN will send the Client a reminder before the Free Trial ends, notifying them that their subscription is about to begin and their payment method will be charged.
- Automatic Conversion. Unless the Client cancels before the end of the 14-day Free Trial, the trial will automatically convert to a paid subscription. At that time, the Client's payment method will be charged the price of the selected Service Plan, the subscription will begin, and the full scope of the plan's Services will be unlocked. Billing will then continue automatically on each Subscription Date in accordance with these Terms.
- Cancelling During the Trial. The Client may cancel at any time before the end of the Free Trial — through the Customer Portal or by written request to contact@dreamjobnavigator.net — and will not be charged. Cancellation during the Free Trial ends the limited Services immediately.
- One Trial Per Client. The Free Trial is limited to one per Client. DJN reserves the right to refuse a Free Trial to any Client who has previously used one, or where DJN reasonably suspects abuse.
- Starting Without a Trial. A Client who wishes to begin the full Services immediately may choose to subscribe directly, without a Free Trial. In that case, the Client is charged the applicable plan price at the time of purchase and full service delivery begins upon completion of the Onboarding Process.
8.4 Multi-Month Plans and Included Savings
DJN offers Service Plans on Monthly, 3-Month, 6-Month, and 12-Month billing cycles. Multi-month plans are billed as a single upfront payment covering the full period and renew automatically at the same rate and interval unless cancelled in accordance with Section 9. The following savings apply to multi-month commitments, as published at www.dreamjobnavigator.net:
- 3-Month Plan: billed as a single payment per 3-month period, at a promotional rate reflecting 40% off the first month.
- 6-Month Plan: billed as a single payment per 6-month period, and includes one month free (the Client pays for five months of the six-month period).
- 12-Month Plan: billed as a single payment per 12-month period, and includes two months free (the Client pays for ten months of the twelve-month period).
Multi-month subscriptions are non-refundable except as set out in Section 9.
8.5 Managing Your Subscription (Customer Portal)
All subscriptions and payments are managed through a secure, Stripe-powered Customer Portal. Through the Customer Portal, the Client can view their invoices and billing history, update their payment method, and cancel their subscription. Access to the Customer Portal is provided by DJN via Stripe and is subject to Stripe's availability and terms. Cancellations and payment updates made through the Customer Portal take effect in accordance with these Terms (see Section 9 for cancellation timing).
8.6 Payment Processing
All payments are processed securely via Stripe. DJN does not store, access, or retain any payment card details. All card data is handled exclusively by Stripe in accordance with PCI-DSS standards. By providing payment details, the Client authorises Stripe to process charges on DJN's behalf.
8.7 Failed Payments
If a payment fails, DJN (through Stripe) will automatically retry the charge over a period of up to one week and will notify the Client to update their payment method. If payment is not successfully collected within 7 days of the Subscription Date, DJN reserves the right to suspend or terminate the Client's access to the Services until the outstanding balance is settled.
9. Cancellation, Refunds and Subscription Continuity
9.1 Cancellation — Monthly Subscriptions
The Client may cancel their monthly subscription at any time through the Customer Portal or by submitting a written cancellation request to contact@dreamjobnavigator.net. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued. The subscription remains active and all features remain available until the billing period ends.
9.2 Cancellation — Free Trial
The Client may cancel during the 14-day Free Trial at any time through the Customer Portal or by written request to contact@dreamjobnavigator.net. If cancelled before the trial ends, the Client is not charged and no fees are due.
9.3 Cancellation and Refunds — Multi-Month Subscriptions
Multi-month subscriptions (3, 6, or 12 months) are billed as a single upfront payment for the full period. The Client may cancel at any time, through the Customer Portal or by written request to contact@dreamjobnavigator.net. Refunds on a multi-month plan work as follows:
- Within 48 hours of the initial charge, before onboarding has commenced and before any work has been delivered: a full refund, subject to the deductions in Section 9.5.
- After 48 hours: DJN retains payment for every month of the plan that has already started — including the current, ongoing month, which is not prorated — and refunds the remaining whole months that have not yet begun. Each refunded month is valued at the plan's effective monthly rate (the total amount paid divided by the number of months in the plan). Non-refundable payment processing fees charged by Stripe are deducted from the refund.
This refund of unused whole months applies regardless of the reason for cancellation, including where the Client has found employment through their own efforts or otherwise no longer needs the Services.
Example: on a 6-month plan cancelled after 3 months and 10 days, DJN retains the first three completed months and the fourth (ongoing) month, and refunds the two remaining unused months (months five and six), less any Stripe fees.
9.4 Cancellation — Career Launch Pack
Refund requests for the Career Launch Pack must be submitted within 48 hours of purchase and before any work has commenced. Once document preparation, CV rewriting, or any other deliverable work has begun, no refund is available.
9.5 Full Refund Conditions
A full refund is available only in the following circumstances:
- The Client submits a cancellation request within 48 hours of purchase (or, for a plan started on a Free Trial, within 48 hours of the first charge), before the Onboarding Process has commenced and before any work has been delivered.
- DJN fails to initiate contact with the Client or schedule the Onboarding Process within 3 business days of the purchase or conversion date, provided the Client has not been unresponsive to DJN's outreach attempts.
In both cases, "full refund" means the amount actually received by DJN — that is, the amount paid by the Client minus any non-refundable payment processing fees charged by Stripe and any direct costs already incurred by DJN. The Client acknowledges that payment processing fees are non-recoverable and agrees that these are borne by the Client in the event of a refund.
9.6 No Refund Circumstances
Except for the full-refund window in Section 9.5 and the multi-month unused-month refund in Section 9.3, no refund is issued. In particular, the following do not entitle the Client to a refund of any month that has already started — on a monthly plan, the current billing period; on a multi-month plan, the elapsed and ongoing months:
- The Client did not receive a job offer during the subscription period.
- The Client was unresponsive, failed to attend scheduled sessions, or did not grant the access required for service delivery.
- The Client provided inaccurate, false, or misleading information that affected service delivery.
- The Client's account on an Authorized Platform was suspended or restricted by that platform.
- The Client changed their mind, decided not to pursue employment, or experienced a change in personal circumstances.
- The Client requests cancellation mid-billing period on a monthly subscription (the current month is not prorated).
- The Client initiated a chargeback without first contacting DJN. See Section 10.
9.7 Quality Dispute and Revision Process
If the Client is dissatisfied with the quality of a specific deliverable (e.g., CV rewrite, cover letter), the following structured process applies. Cash refunds are not available for quality disputes at any stage.
- Round 1 Revision: Client submits specific, written feedback identifying concrete changes required within 5 business days of receiving the deliverable. DJN completes the revision within 3–5 business days.
- Round 2 Revision: If the Client remains dissatisfied after Round 1, they may submit a second round of specific written feedback. DJN completes the final revision within 3–5 business days. This constitutes the last included revision for a quality dispute.
- Credit (Post-Revision): If the Client remains dissatisfied after both revision rounds have been completed in full, DJN may, at its discretion, issue an account credit of up to 50% of one month's subscription fee. This credit is applied to the Client's next billing cycle, has no cash value, is non-transferable, and expires at the end of the following billing period.
9.8 Quality Credit — Abuse Prevention
The account credit described in Section 9.7 is a one-time goodwill gesture per subscription engagement and is not an automatic entitlement. The following conditions apply:
- The credit is available once per Client engagement, regardless of the number of deliverables received.
- Feedback submitted must be specific and actionable. Vague or general dissatisfaction expressed after two complete revision rounds does not qualify.
- DJN reserves the right to assess whether the revision process was followed in good faith. DJN's determination is final.
- Pattern-based or repeated credit requests, or conduct suggesting the revision process is being used to obtain discounts rather than improve deliverables, constitutes misuse and may result in immediate termination of the account without refund.
9.9 Subscription Continuity
By subscribing to DJN's services, the Client expressly agrees that their subscription will automatically renew and be charged on each Subscription Date until a valid cancellation request is received. Failure to use the services, non-responsiveness, or finding employment does not constitute cancellation. Only a written cancellation request submitted to contact@dreamjobnavigator.net, or a cancellation made through the Customer Portal, stops future billing.
9.10 Complimentary Extensions — Long-Term Subscribers
At its sole and absolute discretion, DJN may offer clients subscribed to 3-month, 6-month, or 12-month plans a complimentary subscription extension of one to two months as a goodwill gesture. This offer is not an entitlement, cannot be requested or demanded by the Client, and does not form part of these Terms or the agreed Service Plan. DJN makes this determination based on the overall engagement, Client cooperation, and service experience, entirely at DJN's discretion.
10. Chargeback and Payment Dispute Policy
DJN takes payment disputes seriously and maintains comprehensive records of all services delivered. The following policy applies to any payment dispute or chargeback initiated by the Client.
10.1 Dispute Resolution Before Chargeback
Before initiating any dispute, chargeback, or reversal with a bank, card issuer, or payment provider, the Client must first contact DJN at contact@dreamjobnavigator.net and allow a minimum of 30 days for DJN to review and respond to the concern. This requirement is a condition of these Terms and reflects the Client's agreement at the point of purchase.
10.2 Service Delivery Evidence
DJN maintains timestamped records of all service delivery activities, including: applications submitted on the Client's behalf, outreach conducted, communications sent, sessions held, and deliverables provided. These records, together with the Client's acknowledgement of these Terms at checkout (including IP address, timestamp, and email address on file), constitute DJN's primary evidence in any payment dispute proceeding.
10.3 Unwarranted Chargebacks
If a Client initiates a chargeback or payment reversal that DJN determines to be unwarranted — meaning services were delivered as agreed and the Client did not first follow the dispute process in Section 10.1 — DJN reserves the right to:
- Immediately suspend or permanently terminate the Client's account and access to all services.
- Pursue recovery of the original transaction amount through available legal or collections channels.
- Recover any chargeback processing fees imposed on DJN by Stripe or the relevant financial institution.
- Report the chargeback to relevant fraud prevention systems where applicable.
10.4 Payment Data
DJN does not store, process, or have access to the Client's payment card details at any time. All payment processing is handled exclusively by Stripe, Inc., which complies with PCI-DSS standards. Any concerns regarding payment data security should be directed to Stripe.
11. Outreach and Application Conduct
11.1 Human-Led Execution
All job applications, recruiter outreach, and communications with employers conducted by DJN are executed by human team members from start to finish. Artificial intelligence tools are used exclusively for supporting tasks including ATS scoring, market analysis, content optimisation, and application tracking. No automated system submits applications or sends outreach on behalf of the Client.
11.2 Application Channel
All job applications are submitted using the Shared Email Account established during onboarding, in the Client's name. The Client acknowledges and authorises this method of submission.
11.3 Non-Disclosure
DJN does not disclose to employers, recruiters, or hiring managers that a third-party career management service is involved in the Client's job search. All activities are presented as the Client's own. This approach is consistent with standard career coaching and professional representation practice, and the Client expressly consents to it.
11.4 Outreach Compliance
All outreach conducted by DJN on behalf of the Client is performed professionally and in compliance with applicable laws, including the CAN-SPAM Act and any other relevant anti-spam or electronic communications legislation. DJN is not liable for how third parties respond to outreach, including non-responses, rejections, or decisions not to engage.
11.5 Client Notification
DJN will promptly notify the Client of any interview requests, application responses, or other communications received on their behalf that require Client input, attendance, or a decision. The Client is responsible for attending interviews and responding to offers. DJN will support the Client through these stages in accordance with the selected Service Plan.
12. No Guarantee of Employment
DJN will apply professional expertise and best practices on the Client's behalf. Outcomes depend on many external factors including market conditions, the Client's qualifications, employer decisions, and job availability. The Client enters this engagement with full understanding of these limitations.
13. Intellectual Property
13.1 Client Materials
All personal content provided by the Client (CV, professional history, portfolio materials) remains the intellectual property of the Client. Derivative works created by DJN (rewritten CVs, cover letters, outreach messages) are delivered to and owned by the Client upon full payment.
13.2 DJN Proprietary Materials
DJN's templates, methodologies, tools, processes, brand materials, and the Platform are the exclusive intellectual property of DJN. The Client is granted a limited, non-transferable licence to use the Platform solely for the purpose of receiving the Services.
14. Confidentiality
Both parties agree to keep Confidential Information received from the other party strictly confidential and to use it solely for the purpose of performing or receiving the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. This obligation survives termination of these Terms.
15. Force Majeure and Third-Party Platform Changes
DJN shall not be liable for any failure or delay in performing the Services caused by circumstances beyond DJN's reasonable control, including but not limited to:
- Changes to the terms, policies, APIs, or technical capabilities of Authorized Platforms (including LinkedIn or Indeed).
- Platform-initiated restrictions, account limitations, or access blocks affecting the Client's or DJN's accounts.
- Natural disasters, acts of God, government actions, internet outages, or other force majeure events.
- Third-party service outages affecting tools used by DJN in service delivery.
In such circumstances, DJN will make reasonable efforts to identify and implement alternative delivery methods. Platform disruptions or force majeure events do not constitute grounds for a refund, credit, or cancellation penalty. The Client's subscription continues through such periods.
16. Limitation of Liability
To the fullest extent permitted by applicable law:
- DJN's total cumulative liability to the Client arising from or relating to these Terms or the Services shall not exceed the total fees paid by the Client to DJN in the 3 months immediately preceding the event giving rise to the claim.
- DJN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of employment opportunity, loss of income, loss of data, or reputational harm, even if DJN has been advised of the possibility of such damages.
- DJN is not liable for decisions made by third-party employers, recruiters, hiring managers, or Authorized Platforms.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DJN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR RESULT IN EMPLOYMENT.
18. Indemnification
The Client agrees to indemnify, defend, and hold harmless DJN, its members, employees, contractors, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
- The Client's breach of any provision of these Terms.
- Any inaccurate, false, or misleading information provided by the Client to DJN or subsequently presented to employers.
- The Client's violation of a non-compete, non-solicitation, or any other contractual obligation with a third party.
- The Client's violation of the terms of service of any Authorized Platform.
- The Client's violation of any applicable law in connection with the Services.
- Any unwarranted chargeback or payment dispute initiated by the Client.
19. Termination
19.1 Termination by the Client
The Client may terminate their subscription in accordance with Section 9. Upon termination, the Client's access to the Platform and ongoing Services ceases at the end of the current billing period. DJN will revoke access to the Shared Email Account within 3 business days.
19.2 Termination by DJN
DJN may terminate or suspend the Client's account immediately upon written notice if:
- The Client breaches any material term of these Terms and fails to remedy the breach within 14 days of written notice.
- The Client engages in fraudulent, abusive, or illegal conduct.
- The Client fails to pay fees when due.
- The Client initiates an unwarranted chargeback.
- The Client misuses the revision or credit process as described in Section 9.8.
19.3 Effect of Termination
Upon termination, all outstanding fees become immediately payable. DJN will provide the Client with all completed deliverables up to the date of termination. Sections 5, 13, 14, 16, 17, 18, 20, and 24 survive termination of these Terms.
20. Non-Disparagement
The Client agrees not to make, publish, or communicate any false, misleading, or malicious statements about DJN, its team, services, or reputation on any public platform, including but not limited to social media, review websites, professional networks, or online forums. This clause does not prevent the Client from making truthful, good-faith statements about their experience with DJN's services. This obligation survives termination of these Terms.
21. Testimonials and Case Studies
The Client acknowledges that DJN may use anonymised client success stories, outcomes, and service highlights for marketing, promotional, and educational purposes. This includes use on DJN's website, social media, presentations, and other materials. DJN will not use any personally identifiable information — including name, employer, or specific role — without the Client's explicit written consent.
The Client may opt out of anonymised use at any time by submitting a written request to contact@dreamjobnavigator.net. Opting out does not affect the Client's existing or future services.
22. Independent Contractor Status
DJN is an independent contractor. Nothing in these Terms creates or implies an employment relationship, agency relationship, partnership, joint venture, or franchise between DJN and the Client. DJN is not an employment agency, staffing firm, or recruiter acting on behalf of any employer. DJN does not verify the Client's work authorisation, immigration status, or employment eligibility in any jurisdiction. The Client is solely responsible for ensuring they are legally entitled to accept any employment offered.
23. Modifications to These Terms
DJN reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a notice on our website. Your continued use of the Services after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
24. Governing Law and Dispute Resolution
24.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
24.2 Dispute Resolution
In the event of any dispute arising from or relating to these Terms or the Services, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association (AAA).
24.3 Class Action Waiver
To the extent permitted by law, the Client waives any right to participate in a class action lawsuit or class-wide arbitration against DJN.
25. General Provisions
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: DJN's failure to enforce any right or provision shall not constitute a waiver of that right.
- Entire Agreement: These Terms, together with the Privacy Policy and any Service Plan confirmation, constitute the entire agreement between the parties and supersede all prior agreements.
- Assignment: The Client may not assign their rights or obligations under these Terms without DJN's prior written consent. DJN may assign these Terms to a successor entity.
- Notices: All notices under these Terms shall be in writing and sent to the email addresses provided at registration or to contact@dreamjobnavigator.net.
